1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your use of the services provided by Terra Tech Ltd (“Terra,” “we,” “our,” or “us”), a company registered in the Dubai International Financial Centre (DIFC) and Abu Dhabi Global Market (ADGM). By accessing our website, mobile applications, battery swapping stations, or any related services, you agree to be bound by these Terms.

2. Services

Terra provides Battery as a Service (BaaS) and Mobility as a Service (MaaS) including: battery swapping station access, electric vehicle fleet services, fleet management platform, telematics and monitoring, and related infrastructure services. Service availability, pricing, and specific terms are governed by individual service agreements with fleet partners and subscribers.

3. Account Registration

Certain services require account registration. You agree to: provide accurate and current information, maintain the security of your credentials, notify us immediately of unauthorized access, and accept responsibility for all activity under your account. Terra reserves the right to suspend or terminate accounts that violate these Terms.

4. Battery Swapping Services

When using our battery swapping stations, you agree to: use only Terra-approved batteries and vehicles, follow all posted safety instructions and operational guidelines, report any damage, malfunction, or safety concerns immediately, and not attempt to modify, disassemble, or tamper with batteries or station equipment.

Batteries remain the property of Terra Tech Ltd at all times. Users are granted a license to use batteries in connection with approved services only.

5. Payment and Billing

Subscription and usage fees are billed according to the terms of your service agreement. All prices are in AED unless otherwise stated. Late payments may result in service suspension. Refund policies are outlined in individual service agreements.

6. Intellectual Property

All intellectual property rights in Terra's technology, software, designs, trademarks, and content are owned by Terek Ltd or its licensors. No right, title, or interest in any intellectual property is transferred to you through these Terms or use of our services.

7. Data and Telematics

By using our services, you consent to the collection and processing of vehicle telematics, battery performance, and usage data as described in our Privacy Policy. This data is used to operate, maintain, and improve our services and infrastructure.

8. Limitation of Liability

To the maximum extent permitted by law, Terra shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of our services. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim in the twelve (12) months preceding the event.

9. Indemnification

You agree to indemnify and hold harmless Terra, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC). Any disputes shall be subject to the exclusive jurisdiction of the DIFC Courts, unless otherwise agreed in a separate service agreement.

11. Changes to Terms

Terra reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the revised Terms.
